Organizer Agreement

This Organizer Agreement (“Agreement”) governs your use of the SmallHappen platform as an event organizer (“Organizer”, “you”, or “your”). This Agreement is between you and SmallHappen (“we”, “us”, or “our”).
By creating, listing, or managing events on SmallHappen, you agree to be bound by this Agreement.

Your Role as Organizer

You are the sole creator, host, and provider of your events. You are the seller of record for all tickets sold through SmallHappen.
You are solely responsible for:
  • Creating, managing, and delivering your events
  • Ensuring the accuracy of event details
  • Complying with all applicable laws and regulations
  • Providing any required licenses, permits, or insurance
SmallHappen is not a party to the transaction between you and attendees and does not assume responsibility for your events.

Tickets, Payments, and Pricing

You control:
  • Ticket pricing
  • Event capacity
  • Sales terms and conditions
Payments are processed through third-party providers, including Stripe. By using Small Happen, you agree to comply with all applicable payment processor terms.
You authorize SmallHappen to:
  • Facilitate payment collection on your behalf
  • Display your event and ticketing information
  • Deduct applicable fees before payout (if applicable)

Refunds, Cancellations, and Changes

You are solely responsible for:
  • Defining and publishing your refund policy
  • Handling all refund requests
  • Managing event cancellations, postponements, or changes
If an event is canceled, you must issue refunds in accordance with your stated policy and applicable laws.
SmallHappen is not responsible for issuing refunds but may assist in facilitating them.

Disputes and Chargebacks

You are fully responsible for all disputes, chargebacks, and payment reversals related to your events.
This includes:
  • Responding to disputes in a timely manner
  • Providing evidence to support transactions
  • Covering all associated costs, including dispute fees and penalties imposed by payment processors such as Stripe
You authorize SmallHappen to:
  • Share relevant transaction and event data with payment processors
  • Act on your behalf in responding to disputes where appropriate
SmallHappen reserves the right to recover any losses, fees, or liabilities arising from disputes, including by:
  • Deducting amounts from your account balance
  • Offsetting against future payouts

Organizer Obligations

You agree that you will:
  • Provide accurate and complete event information
  • Deliver events as described
  • Respond promptly to attendee inquiries and issues
  • Comply with your own stated policies
You must not:
  • Mislead attendees
  • Sell fraudulent or non-existent events
  • Violate any applicable laws or third-party rights

Taxes

You are solely responsible for:
  • Determining and fulfilling your tax obligations
  • Collecting and remitting any applicable taxes (e.g., VAT, sales tax)
SmallHappen does not provide tax advice and is not responsible for your tax compliance.

Content

You are responsible for all content you upload, including event descriptions, images, and communications.
By using the Service, you grant SmallHappen a worldwide, non-exclusive, royalty-free license to use, display, and distribute your content for the purpose of operating and promoting the platform.

Fees

SmallHappen may charge platform fees for use of the Service. These will be disclosed to you within the platform.
You agree to pay all applicable fees associated with your use of the Service.

Suspension and Termination

We may suspend or terminate your account if:
  • You violate this Agreement
  • You have excessive disputes or chargebacks
  • Your activities pose risk to the platform or users
We may also withhold payouts where necessary to cover potential liabilities.

Disclaimer

SmallHappen provides the platform on an “as is” and “as available” basis.
We do not guarantee:
  • Ticket sales or event attendance
  • Platform availability or uninterrupted service

Limitation of Liability

To the maximum extent permitted by law, SmallHappen shall not be liable for any indirect, incidental, or consequential damages arising from your use of the Service.

Indemnification

You agree to indemnify and hold harmless SmallHappen and its affiliates from any claims, damages, or expenses arising from:
  • Your events
  • Your violation of this Agreement
  • Any disputes with attendees

Governing Law

This Agreement shall be governed by applicable laws of the jurisdiction in which Small Happen operates.

Changes to This Agreement

We may update this Agreement from time to time. Continued use of the Service constitutes acceptance of the updated terms.
